PROFESSIONAL

Sean A. Fraser is a partner at Abbott Nicholson, P.C. where he concentrates on advising closely held businesses and tax planning. Sean has extensive experience representing private companies and entrepreneurs in every facet of corporate law. Sean counsels clients concerning formation, acquisitions, and investments. Sean assists companies seeking financing from private markets. As part of his general practice he structures, negotiates, and prepares documents for acquisitions, private equity investments, and senior and mezzanine loans. Prior to joining Abbott Nicholson Sean was employed as a tax consultant with Deloitte & Touche and worked with two local law firms.

REPRESENTATIVE EXPERIENCE

• Sale of Thermafiber Inc., (a Cerberus holding) producer of mineral wool insulation products for commercial and industrial applications to group led by Altus Capital Partners

• Sale of dairy distributor to Dean Foods

• Venture capital investment by Bank of Montreal in client internet company offering private banking, shopping and communications in a secure network for high net worth families

• Acquisition of EDS automotive e-catalog business by Australian client company

• Negotiated investment and partial acquisition of Signifi Solutions, Inc., a Canadian corporation by client wireless service provider

• Negotiated Alliance Agreement between Walbridge Aldinger Company and client related to marketing and installing solvent recovery and VOC abatement systems

• Sale/Acquisition of various Michigan limited dividend housing projects and related term financing and tax credit investment

• Negotiated Mizuho Corporate Bank, Ltd. working capital loan to automotive service client

• Represented U.S. Subsidiaries, in connection with credit facility among client’s Luxembourg parent and GE Leverage Loans Limited and GE Capital Limited S.A.R.L.

• Negotiated Senior Secured Subordinated Notes and Warrants to Purchase Units of Membership Interests in connection with private venture partners’ investment in start-up client company

• Negotiated loan work out and loan consolidation related to an extension of credit to client machine tool company.

EDUCATION; ADMITTANCE

Sean attended the University of Detroit Mercy where he obtained his bachelors degree (B.S., cum laude, 1986), his masters degree in Business Administration (M.B.A. in 1989) and his law degree (J.D. in 1989). Sean is admitted to practice in Michigan, before the U.S. District Court, Eastern District of Michigan, and before the U.S. Tax Court
